1. Express prohibition and reservation of rights
Except where expressly authorised in advance by a written agreement signed by IkoPrep, no person or entity may, directly or indirectly, use any content, materials, data or information made available through the Services, including text, questions, answers, explanations, images, audio, video, software, source code, databases, metadata, designs, documents and user-interface elements (collectively, the “Content”), for:

 

(a) text and data mining, computational analysis, automated content analysis, data
extraction, web scraping or dataset creation;

(b) training, pre-training, fine-tuning, tuning, grounding, validating, benchmarking, testing,
evaluating, improving or developing any artificial intelligence, machine-learning, deeplearning,
neural-network, algorithmic or similar system or model;

(c) creating or enhancing embeddings, vector databases, knowledge graphs, retrievalaugmented
generation systems, synthetic datasets or other machine-readable representations
derived from the Content; or

(d) enabling any artificial intelligence or automated system to generate, reproduce, imitate,
summarise, transform or otherwise produce outputs based on, derived from or informed by
the Content.
 

2. No consent or implied licence
IkoPrep does not grant any licence, permission or consent for any of the activities described
in this clause.

 

The availability of Content through a publicly accessible website, application, feed, API, search result or other online location does not constitute consent to its use for artificial intelligence development, model training or text and data mining.

 

No consent, licence or permission may be inferred from:

 

(a) the public accessibility of the Content;
(b) the absence of technical access restrictions;
(c) a failure to block a particular crawler, scraper, bot, agent or automated system; or
(d) the indexing, caching or display of the Content by a search engine or other intermediary.

 

3. Automated access
You must not use, or permit any third party to use, crawlers, scrapers, spiders, bots, automated agents, software tools or similar technologies to access, collect, copy, download, harvest, extract or process the Content for any purpose prohibited by this clause.

 

You must not circumvent, disable, disregard or interfere with robots.txt instructions, metadata, HTTP headers, access controls, authentication requirements, rate limits, machine-readable rights reservations or other technical measures used by IkoPrep to communicate or enforce these restrictions.

 

4. Mandatory legal exceptions
Nothing in this clause excludes, restricts or overrides any use that cannot lawfully be excluded or restricted under mandatory applicable law, including any use that falls within section 29A of the Copyright, Designs and Patents Act 1988.

Where a mandatory exception applies, the Content may be used only within the precise scope and conditions of that exception. No broader licence, permission, consent or authorisation will be implied.

Reliance on a statutory exception does not authorise the Content to be used for a separate commercial purpose, transferred to another person, incorporated into a commercial training dataset or otherwise used beyond the scope permitted by applicable law.

5. Written permission required
Any proposed use of the Content for artificial intelligence, machine learning, text and data mining or any related activity requires a separate written licence from IkoPrep.

Requests for permission must be submitted to contact@ikoprep.co.uk before the Content is accessed, collected, copied, extracted or processed for such purposes.

6. Breach and remedies
Any unauthorised use of the Content in breach of this clause constitutes a material breach of these Terms.

Upon becoming aware of an unauthorised use, the responsible person or entity must, to the extent permitted by applicable law:

(a) immediately cease the prohibited activity;
(b) cease distributing or providing access to any dataset, model, embedding, database or other material containing or derived from the Content;
(c) delete all unauthorised copies, extracts and datasets containing or derived from the Content; and
(d) provide written confirmation of cessation and deletion upon IkoPrep’s reasonable request.

IkoPrep reserves all rights and remedies available under contract, copyright, database-right and other applicable laws, including the right to seek injunctive relief, damages and
recovery of its reasonable enforcement costs where legally recoverable.
